End-User Licence Agreement
This agreement is between you (the business using the software) and Jordan Kesler, a sole proprietor operating as KES Books in Manitoba, Canada ("KES Books", "we", "us"). It covers Trade Desk and any other KES Books app (the "Software"). By installing or using the Software, you agree to these terms.
1. Licence
We give you a non-exclusive, non-transferable licence to install and use the Software to run your own business. You may let your employees and contractors use it for your business.
2. What you may not do
- Resell, rent, sublicense or distribute the Software, or offer it as a service to others.
- Remove copyright or ownership notices.
- Use the Software for anything unlawful.
KES Books keeps all ownership of the Software. This licence does not transfer ownership to you.
3. Your data and backups
The Software stores your data on your own computer. You are responsible for your data, for keeping backups, and for the security of the computer and accounts you run it on.
4. Tax and accounting decisions
The Software helps you keep records, prepare invoices and summarize figures. It does not give tax, legal or accounting advice. You are responsible for your own tax filings and accounting decisions, and for checking that the figures are right.
5. QuickBooks and other services
QuickBooks is a trademark of Intuit Inc. KES Books is not affiliated with or endorsed by Intuit. If you connect the Software to QuickBooks Online, your use of that connection is also subject to Intuit's terms and policies. The same applies to other services you choose to connect, such as email or text-message providers.
6. Provided as-is
The Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not promise it will be error-free or uninterrupted.
7. Limitation of liability
To the extent the law allows, KES Books is not liable for any indirect, incidental, special or consequential loss, including lost profits, lost data or business interruption. Our total liability for any claim relating to the Software is limited to the amount you paid us for it in the 12 months before the claim.
8. Termination
You may stop using the Software at any time. This licence ends automatically if you break these terms. When it ends, you must stop using the Software. Your data stays on your computer and remains yours.
9. Changes
We may update this agreement. The current version and its effective date will always be on this page.
10. Governing law
This agreement is governed by the laws of the Province of Manitoba and the federal laws of Canada that apply there.
